These Terms govern access to BreadthX’s website, LMS, courses, videos, live sessions, mentorships, resources and learner community.

Important: BreadthX is an education and mentorship platform. It does not promise profits, guaranteed returns or risk-free trading. Read these Terms and the course-specific information shown before payment.

Acceptance of these Terms

By visiting the website, submitting an enquiry, creating an account, clicking acceptance, purchasing, enrolling in or using any Service, you agree to these Terms & Conditions (“Terms”) and the Privacy Policy. If you do not agree, do not use the Services.

Course pages, order summaries, application forms, written proposals and any clearly disclosed course-specific terms form part of these Terms. If there is a direct conflict, the course-specific term controls only for that course and only to the extent of the conflict. Your non-waivable rights under applicable consumer law remain unaffected.

Service provider

Eligibility and authority

You must be at least 18 and legally capable of entering a binding contract. A learner under 18 may participate only where BreadthX expressly permits it and a parent or lawful guardian purchases, consents and supervises the use. If you act for an organisation, you confirm that you are authorised to bind it.

You must provide accurate, current information and use the Services only where lawful. BreadthX may reasonably verify identity, payment or eligibility to protect learners and the platform.

The Services

Services may include self-paced courses, recorded videos, downloadable or view-only resources, quizzes, assignments, certificates, mentorship, live classes or market observation, learner communities, tools and LMS access. Exact inclusions, language, instructors, schedule, prerequisites, access period and technical requirements are those stated on the relevant course page or order confirmation.

We may make reasonable academic or operational changes—such as updating outdated lessons, replacing an instructor, changing sequence, rescheduling a session, or using an equivalent platform—provided the overall educational value is not materially reduced. Material changes will be communicated appropriately.

Account security and single-user access

  • Your account and enrolment are personal, limited, non-transferable and for one authorised learner unless a written team/institutional licence says otherwise.
  • Keep credentials and one-time codes confidential. You are responsible for activity under your account except unauthorised activity you promptly report.
  • Do not share, sell, sublicense or simultaneously use an account across multiple people. Reasonable device/session controls may be applied to prevent abuse.
  • Notify hello@breadthx.com immediately if you suspect compromise.

Enrolment, pricing, taxes and payment

An order is accepted when payment is successfully received and we issue an enrolment/order confirmation, or when both parties accept a written payment plan. Prices, taxes, instalments, due dates and included Services will be displayed before purchase or in a written proposal.

  • Payments may be processed by third-party gateways. You authorise the relevant provider to process the transaction under its terms.
  • You must use a payment method you are authorised to use. Failed, reversed, fraudulent or overdue payment may pause access after reasonable notice.
  • Unless expressly stated otherwise, quoted amounts include or exclude GST as shown at checkout/invoice. Statutory taxes and compliant invoices will be handled as applicable.
  • Discounts and coupons may carry separate, clearly disclosed limits and cannot be exchanged for cash.
  • For instalments, the full course price remains payable according to the agreed schedule; an instalment arrangement is not a monthly subscription unless expressly described as one.

Digital delivery and access period

Digital access is ordinarily delivered to the registered email/mobile or LMS account after successful payment and required onboarding. You must check spam folders and provide a compatible device, browser and internet connection.

Access duration is course-specific and must be shown before purchase. “Lifetime access”, if expressly offered, means access for as long as BreadthX continues to operate and host that course on the applicable platform; it does not mean the learner’s lifetime or guarantee perpetual availability of any third-party platform. We will use reasonable efforts to give notice before permanently retiring paid content.

Planned maintenance, internet failures and events beyond reasonable control may cause temporary interruption. We will use reasonable efforts to restore materially affected Services.

Cancellation, replacement and refunds

The cancellation/refund terms displayed on the relevant course page, counselling document or checkout before payment apply to that purchase. Please review them carefully. No term excludes a refund, replacement, re-performance or other remedy that must be provided under applicable law for a deficient, misdescribed or undelivered Service.

Unless the purchase page expressly provides a more favourable policy:

  • requests must be sent to hello@breadthx.com with the order details and reason;
  • a duplicate charge, confirmed failed transaction, wrong enrolment caused by us, or material non-delivery will be investigated and corrected or refunded as appropriate;
  • change-of-mind refunds are not automatic after digital content has been substantially accessed, downloaded, copied, a live session has been attended, or protected resources have been unlocked;
  • approved refunds are returned to the original payment method, ordinarily within 7–10 business days after approval, subject to bank/payment-provider timing; and
  • payment-gateway or financing charges may be deducted only where lawfully permitted and disclosed.

If BreadthX cancels a paid program without providing a reasonable equivalent, affected learners will receive an appropriate pro-rata or full refund for the undelivered portion. A learner’s statutory consumer rights are not waived.

Live sessions, recordings and community

Schedules may change for instructor illness, market holidays, technical issues or reasonable operational needs. We may offer a rescheduled session, recording or equivalent lesson where appropriate.

A live session may be recorded only where notice is provided. If you enable camera/microphone, speak, chat, screen-share or display a name, that contribution may appear in the recording and may be made available to the relevant learner cohort for educational purposes. Use display/privacy settings or contact the host if you do not wish to appear. Any use outside the stated purpose requires an appropriate permission or lawful basis.

Community spaces must be respectful and educational. Do not post trading calls presented as guaranteed, solicit money, impersonate others, harass, spam, disclose confidential/personal information, upload malware, or infringe intellectual property. BreadthX may moderate or remove content and restrict access for material violations.

Intellectual property and learning licence

BreadthX and its licensors retain all rights in course structure, videos, live-session recordings, slides, text, graphics, dashboards, indicators, strategies, examples, source materials, branding, trademarks and platform content (“Content”). Payment gives you a limited, revocable, non-exclusive, non-transferable licence to access the purchased Content for personal learning during the stated access period.

Unless expressly allowed in writing, you must not download where no download button is provided; reproduce; record; screen-capture in bulk; republish; translate; resell; distribute; upload to file-sharing/AI-training services; remove watermarks; disclose protected links; reverse engineer; create a competing course from; or commercially exploit the Content. Reasonable personal notes are allowed.

“BreadthX” and associated logos are protected brand assets. No trademark licence is granted.

Acceptable use and platform integrity

You must not attempt to bypass access controls, scrape or automate extraction, probe security, overload the Services, introduce malicious code, falsify progress/certificates, manipulate reviews, use bots to simulate attendance, or use the Services for unlawful, misleading or infringing activity.

We may use proportionate safeguards such as session limits, access logs, dynamic watermarking and investigation of unusual activity. Such measures will be operated consistently with our Privacy Policy and applicable law.

Your submissions and feedback

You retain ownership of original assignments, comments and other material you submit. You grant BreadthX a non-exclusive, worldwide, royalty-free licence to host, reproduce and display it only as reasonably necessary to operate, secure and deliver the Services. This licence ends when the content is deleted, except for lawful backups, records, content already shared within a cohort, or where retention is legally required.

You confirm that you have the necessary rights and that your submission is lawful. We will not use your name, image, testimonial or trading result in public advertising without an appropriate permission. Suggestions and non-confidential feedback may be used to improve the Services without payment.

Education only—not investment advice

BreadthX provides general education about markets, market breadth, relative strength, stage analysis, technical methods, risk and execution. The Services are not investment advisory, portfolio management, brokerage, research reports, personalised recommendations, legal, tax or accounting services. Nothing is a solicitation or instruction to buy, sell or hold a security or financial product.

BreadthX does not assess your complete financial circumstances, objectives, risk profile or suitability. You remain solely responsible for independent evaluation and decisions. Where you need regulated or personalised advice, consult an appropriately registered SEBI intermediary or other qualified professional and independently verify their registration.

Trading and investment risk

MARKET RISK WARNINGTrading and investing can result in partial or total loss of capital. Derivatives, leverage, short selling, forex, commodities and crypto-assets can involve amplified loss, volatility, liquidity, counterparty, technology and regulatory risk. Do not trade money you cannot afford to lose.

Charts, screeners, indicators, backtests, paper trades and examples are illustrative educational tools. They may use delayed, incomplete, adjusted, simulated or third-party data. Backtested or hypothetical performance is affected by assumptions and does not reproduce live execution, liquidity, slippage, fees, taxes or psychology. Past performance does not guarantee future results.

Any market observation during a class is for explanation in context and may become outdated immediately. You must independently verify information and use your own risk controls.

No guarantees; testimonials

Learning outcomes depend on attendance, practice, prior knowledge, market conditions and individual effort. We do not guarantee profits, income, employment, certification by a regulator, trading success or any particular outcome.

Testimonials and learner stories reflect individual experiences and are not necessarily typical. Any hypothetical or illustrative result will be identified where appropriate and should not be treated as a promise.

Third-party platforms, tools and data

The Services may link to or use an LMS, payment gateway, video platform, messaging/community service, charting tool, app store, broker website or market-data provider. Third parties operate under their own terms and privacy notices. BreadthX does not control their availability, price, data accuracy or independent acts.

Links are provided for convenience and do not automatically mean endorsement. Never share brokerage passwords, OTPs, API secrets or banking credentials with an instructor or in a community. Use any third-party trading integration only after understanding its permissions and risks.

Changes to Services or Terms

We may update these Terms for legal, security, operational or product reasons. The current version and effective date will appear on this page. Material changes will be notified reasonably, and will not retroactively reduce an already-paid core entitlement without an appropriate remedy. Continuing to use the Services after an effective update constitutes acceptance where permitted by law.

Suspension and termination

You may stop using the Services at any time, subject to payment obligations and the applicable refund policy. We may temporarily suspend or terminate access for fraud, chargeback abuse, unlawful conduct, piracy, credential sharing, security threats, harassment, or a material/repeated breach. Except for urgent security or legal situations, we will ordinarily provide notice and a reasonable opportunity to explain or cure where appropriate.

On termination, the access licence ends. Clauses concerning payment due, intellectual property, education/risk notices, liability, disputes and any terms intended by nature to survive will continue. Suspension does not remove statutory consumer remedies.

Service standard and warranties

We will provide paid Services with reasonable care and skill and substantially as described. Subject to this promise and rights that cannot lawfully be excluded, Services are provided on an “as available” basis. We do not warrant uninterrupted availability, compatibility with every device, that every error will be corrected, or that third-party/market data is complete or current.

Limitation of liability

Nothing in these Terms excludes or limits liability that cannot be excluded by law, including liability for fraud, wilful misconduct, or other mandatory consumer rights.

To the maximum extent lawfully permitted, BreadthX is not liable for indirect, incidental, special or consequential loss; loss of trading capital, profit, opportunity, data or goodwill; or loss caused by an independent trading decision, third-party service, network failure or event beyond reasonable control. Where liability may lawfully be limited, BreadthX’s aggregate liability arising from the affected paid Service will not exceed the amount you paid BreadthX for that Service in the 12 months preceding the event.

This allocation reflects the educational nature of the Services and does not reduce remedies available under non-waivable law.

Responsibility for misuse

To the extent permitted by law, you will be responsible for reasonable loss or third-party claims directly caused by your unlawful use, infringement, unauthorised distribution of Content, malicious conduct or material breach. BreadthX will give reasonable notice of a claim and will not seek recovery for loss caused by its own breach or misconduct.

Governing law and dispute resolution

These Terms are governed by the laws of India. First contact the Grievance Officer with the order/account details and requested resolution. We will attempt good-faith resolution within the period required by applicable law.

If unresolved, the courts or consumer commissions having lawful territorial and subject-matter jurisdiction may hear the dispute. Nothing prevents an eligible consumer from using mechanisms available under the Consumer Protection Act, 2019 or applicable online dispute-resolution channels. No clause requires a consumer to waive a mandatory right or approach an unlawfully exclusive forum.

General terms

  • Force majeure: neither party is liable for delay caused by events beyond reasonable control; payment for undelivered Services and mandatory remedies remain subject to law.
  • Severability: if a clause is unenforceable, it will be limited to the minimum necessary and the rest remains effective.
  • No waiver: delay in enforcing a right is not a waiver.
  • Assignment: you may not transfer an account or enrolment without written consent. We may transfer these Terms with the business while preserving your rights.
  • Entire agreement: these Terms, the Privacy Policy and incorporated course/order terms form the agreement about the Services.
  • Electronic communications: you agree to receive contracts, invoices, notices and records electronically where legally permitted.
